Welcome to AuraSpeed. By accessing or using our platform, you agree to be bound by these Terms of Use and Terms & Conditions. Please read them carefully before using our services.

1. Acceptance of Terms

By accessing, browsing, or using the AuraSpeed platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and Terms & Conditions ("Terms").

(i) Binding Agreement

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and AuraSpeed ("we," "us," or "our"). If you do not agree to these Terms, you must immediately discontinue use of the Service.

(ii) Additional Terms

Certain features or services may have additional terms, policies, or guidelines ("Additional Terms"). In the event of a conflict between these Terms and Additional Terms, the Additional Terms will control with respect to that specific feature or service.

(iii) Privacy Policy Integration

Our Privacy Policy is incorporated by reference into these Terms. By agreeing to these Terms, you also acknowledge our Privacy Policy and consent to the collection and use of your information as described therein.

2. Definitions

For purposes of these Terms, the following definitions apply:

(i) "Service"

Refers to the AuraSpeed platform, including all websites, applications, tools, AI systems (including Fiora), content generation features, analytics dashboards, marketplace, and any other services provided by AuraSpeed.

(ii) "User Content"

Any content, materials, data, text, images, videos, audio, thumbnails, scripts, or other information that you upload, submit, post, or transmit through the Service.

(iii) "Creator"

A user who registers to use AuraSpeed's YouTube growth tools, AI assistance, and content optimization services for their own YouTube channel.

(iv) "Freelancer"

A user who offers services (e.g., video editing, thumbnail design, script writing) to Creators through the AuraSpeed marketplace or direct hiring features.

(v) "Client"

A Creator who hires a Freelancer for services through the AuraSpeed platform, including project-based work or ongoing collaborations.

(vi) "AI Systems"

Refers to AuraSpeed's artificial intelligence tools, including but not limited to Fiora (YouTube channel assistant), content generation models, thumbnail analyzers, retention analyzers, and all other machine learning-powered features.

3. Account Registration & Eligibility

(i) Age Requirements

You must be at least 18 years old to use the Service. If you are between 13 and 17 years old, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

(ii) Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy. You are responsible for safeguarding your account credentials and for any activities or actions under your account.

(iii) Account Security

You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

(iv) One Account Per User

You may only create one account per person. Creating multiple accounts to circumvent restrictions, manipulate reviews, or engage in fraudulent activity is strictly prohibited and may result in account termination.

(v) Third-Party Authentication

If you register or authenticate through a third-party service (e.g., Google OAuth, YouTube), you authorize us to access certain account information from that service as permitted by your privacy settings with that service.

4. Services Description

AuraSpeed provides a comprehensive suite of YouTube growth services, including but not limited to:

(i) DFY (Done-For-You) Services

Full YouTube channel management where our team or freelancers handle video production, optimization, thumbnails, scheduling, and analytics on your behalf. We provide the labor; you retain full ownership of the channel and content.

(ii) DIY (Do-It-Yourself) Services

Self-service tools, templates, AI assistance (Fiora), analytics dashboards, and educational resources that empower you to manage and grow your channel independently.

(iii) DWY (Done-With-You) Services

Collaborative coaching and consultation where our experts work alongside you, providing guidance, feedback, and hands-on support while you maintain control over your channel's direction.

(iv) AI-Powered Tools

Access to Fiora (AI assistant), content brainstorming, script generation, thumbnail analysis, retention analysis, comment sentiment analysis, trend prediction, and other machine learning-powered features designed to optimize YouTube performance.

(v) Marketplace & Freelancer Services

A platform connecting Creators with vetted Freelancers offering specialized services such as video editing, thumbnail design, script writing, voiceovers, SEO optimization, and more.

(vi) Analytics & Performance Tracking

Real-time YouTube Analytics integration, custom dashboards, performance reports, growth tracking, and actionable insights based on your channel's authenticated data.

(vii) Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

5. User Responsibilities

As a user of AuraSpeed, you agree to the following responsibilities:

(i) Compliance with Laws

You will comply with all applicable local, state, national, and international laws, regulations, and ordinances in your use of the Service, including but not limited to copyright laws, trademark laws, export control laws, and YouTube's Terms of Service.

(ii) YouTube Policy Compliance

You acknowledge that your YouTube channel must comply with YouTube's Community Guidelines, Terms of Service, and monetization policies. AuraSpeed is not responsible if your channel receives strikes, demonetization, or termination due to policy violations.

(iii) Content Authenticity

You represent and warrant that all User Content you submit is original, does not infringe on any third-party rights, and that you have all necessary permissions, licenses, consents, and releases to use and authorize us to use such content.

(iv) Professional Conduct

You will interact with other users (Creators, Freelancers, Clients) in a professional, respectful, and ethical manner. Harassment, discrimination, threats, or abusive behavior will not be tolerated.

(v) Accurate Information

You will provide truthful and accurate information when creating profiles, submitting work samples, bidding on projects, or communicating with other users.

6. Content Ownership & Licensing

(i) Your Content Ownership

You retain all ownership rights to your User Content. However, by uploading or submitting content to the Service, you grant AuraSpeed a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content solely for the purposes of operating, improving, and providing the Service.

(ii) AI Training & Improvement

You acknowledge that anonymized and aggregated data from your use of the Service, including interactions with AI systems, may be used to train, improve, and enhance our machine learning models and AI features. Personal identifiable information will not be used without your consent as described in our Privacy Policy.

(iii) AI-Generated Content

Content generated by AuraSpeed's AI systems (e.g., scripts, thumbnails, video ideas) is provided to you for your use. While you may use this AI-generated content for your YouTube channel or projects, you acknowledge that similar outputs may be generated for other users.

(iv) Freelancer Work Product

For work commissioned through the marketplace, ownership and licensing of deliverables is determined by the agreement between the Creator (Client) and Freelancer. By default, completed work transfers to the Client upon full payment, unless otherwise specified in the project agreement.

(v) Content Removal Rights

We reserve the right to remove or refuse to display any User Content that violates these Terms, infringes on intellectual property rights, or is otherwise objectionable in our sole discretion.

7. Payment Terms & Billing

(i) Service Fees

Certain features and services require payment of fees as described on our pricing page or within the Service. All fees are exclusive of applicable taxes unless otherwise stated. You agree to pay all fees associated with your account in accordance with the billing terms in effect at the time the fees become payable.

(ii) Subscription Services

Subscription-based services (e.g., DIY monthly plans, premium tool access) automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on a recurring basis without requiring your prior approval for each charge.

(iii) Marketplace Transactions

For services purchased through the marketplace, AuraSpeed acts as a payment processor. Funds are held in escrow until project milestones are completed and approved by the Client. AuraSpeed charges a platform fee (percentage of transaction value) as specified in the marketplace terms.

(iv) Refund Policy

Subscription fees are generally non-refundable except as required by law or as explicitly stated in our refund policy. For marketplace transactions, refunds and disputes are handled in accordance with our Dispute Resolution process outlined in Section 15.

(v) Payment Method Authorization

You authorize AuraSpeed and our payment processors (e.g., Stripe) to store your payment method information and charge it for applicable fees. You agree to promptly update your payment information if it changes or expires.

(vi) Failed Payments

If a payment fails or is declined, we may suspend or terminate your access to paid features until payment is successfully processed. You remain responsible for any outstanding amounts owed.

(vii) Price Changes

We reserve the right to change our pricing at any time. For subscription services, price changes will take effect at the start of your next billing cycle after we provide you with at least 30 days' advance notice.

8. Freelancer & Marketplace Terms

(i) Independent Contractor Relationship

Freelancers are independent contractors, not employees or agents of AuraSpeed. AuraSpeed does not control how Freelancers perform their work, and Freelancers are solely responsible for their own taxes, insurance, and compliance with applicable labor laws.

(ii) Project Agreements

When a Creator hires a Freelancer through the marketplace, they enter into a direct contractual relationship. AuraSpeed facilitates the connection and payment processing but is not a party to the project agreement and is not responsible for the quality, timeliness, or legality of work performed.

(iii) Freelancer Vetting

While we may conduct basic verification of Freelancer profiles, portfolios, and credentials, AuraSpeed does not guarantee the skill level, reliability, or professionalism of any Freelancer. Creators are responsible for conducting their own due diligence before hiring.

(iv) Communication & Conduct

All project-related communication should occur within the AuraSpeed platform to ensure proper documentation and dispute resolution support. Taking projects "off-platform" to avoid fees is prohibited and may result in account suspension.

(v) Work Delivery & Quality

Freelancers agree to deliver work that meets industry standards and the specifications outlined in the project agreement. Creators agree to provide clear requirements, timely feedback, and reasonable revision requests.

(vi) Platform Fees

AuraSpeed charges a service fee on marketplace transactions. Fees are deducted from Freelancer earnings and/or added to Client payments as specified in the marketplace pricing structure.

9. Prohibited Activities

You agree NOT to engage in any of the following prohibited activities:

(i) Illegal Content & Activities

Uploading, transmitting, or promoting content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, hateful, or racially or ethnically objectionable.

(ii) Intellectual Property Infringement

Using copyrighted materials, trademarks, or other intellectual property without proper authorization. This includes uploading copyrighted videos, music, images, or using others' content without permission.

(iii) Service Manipulation

Manipulating analytics, engagement metrics, reviews, ratings, or rankings through bots, fake accounts, purchased views/subscribers, or any automated or fraudulent means.

(iv) System Interference

Attempting to interfere with, compromise, or disrupt the Service's integrity, security, or performance. This includes introducing viruses, malware, or any code designed to harm or exploit the system.

(v) Unauthorized Access

Accessing or attempting to access accounts, systems, or data not intended for you, or bypassing security measures, authentication protocols, or access controls.

(vi) Data Scraping & Mining

Using automated tools, bots, scrapers, or data mining techniques to extract data from the Service without our express written permission.

(vii) Impersonation & Misrepresentation

Impersonating any person or entity, falsely stating or misrepresenting your affiliation with any person or entity, or providing false information during registration.

(viii) Spam & Unsolicited Communication

Sending spam, chain letters, junk mail, or any unsolicited promotional or commercial content to other users or through the Service.

10. Intellectual Property Rights

(i) AuraSpeed's Proprietary Rights

The Service and its entire contents, features, and functionality (including but not limited to all software, code, AI models, algorithms, designs, text, graphics, logos, and trademarks) are owned by AuraSpeed or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

(ii) Limited License to Use Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes.

(iii) Restrictions

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or create derivative works of any part of the Service without our express written permission.

(iv) Trademark Usage

"AuraSpeed" and associated logos, designs, and branding are trademarks of AuraSpeed. You may not use our trademarks without prior written consent, except as necessary to accurately describe the Service.

(v) Copyright Infringement Claims

If you believe content on the Service infringes your copyright, please contact us at legal@auraspeed.com with details. We respond to valid copyright infringement notices in accordance with the Digital Millennium Copyright Act (DMCA).

11. Disclaimers & Warranties

(i) "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

(ii) No Guarantee of Results

AuraSpeed does not guarantee any specific results, outcomes, subscriber growth, view counts, monetization, or revenue from your use of the Service. YouTube growth depends on numerous factors beyond our control, including content quality, niche, timing, and YouTube's algorithms.

(iii) AI System Limitations

While our AI systems are designed to provide helpful suggestions and analysis, they are not perfect and may occasionally produce inaccurate, incomplete, or inappropriate outputs. You are responsible for reviewing and verifying all AI-generated content before use.

(iv) Service Availability

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We may experience downtime for maintenance, updates, or technical issues.

(v) Third-Party Services

The Service integrates with third-party platforms (e.g., YouTube, Google, payment processors). We are not responsible for the availability, functionality, security, or policies of these third-party services.

(vi) User-Generated Content

We do not endorse, support, represent, or guarantee the accuracy, completeness, truthfulness, or reliability of any User Content or communications posted via the Service.

12. Limitation of Liability

(i) Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AURASPEED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

(ii) Cap on Liability

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID TO AURASPEED IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

(iii) Exclusions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you to the extent prohibited by law.

(iv) Basis of the Bargain

You acknowledge that the disclaimers and limitations of liability set forth in this Section are fundamental elements of the basis of the bargain between AuraSpeed and you, and that AuraSpeed would not provide the Service without these limitations.

13. Indemnification

You agree to indemnify, defend, and hold harmless AuraSpeed, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

(i) Your Violations

Your violation or breach of any term of these Terms or any applicable law or regulation.

(ii) Your Content

Your User Content, including any claims of intellectual property infringement or privacy violations related to your content.

(iii) Your Conduct

Your use or misuse of the Service, including harm caused to other users, third parties, or AuraSpeed.

(iv) Third-Party Claims

Any third-party claims arising from your use of the Service or your relationship with other users (e.g., disputes between Creators and Freelancers).

14. Termination & Suspension

(i) Your Right to Terminate

You may terminate your account at any time by contacting support or using the account deletion feature in your settings. Upon termination, your right to use the Service will immediately cease.

(ii) Our Right to Terminate

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, for any reason including but not limited to violation of these Terms, suspected fraudulent activity, or discontinuation of the Service.

(iii) Effect of Termination

Upon termination, all licenses and rights granted to you in these Terms will immediately terminate. You remain liable for all obligations incurred prior to termination. Sections that by their nature should survive termination (including but not limited to payment obligations, indemnification, disclaimers, and limitations of liability) will survive.

(iv) Data Retention After Termination

We may retain your information for a reasonable period after account termination as described in our Privacy Policy and as required by law. You may request deletion of your data by contacting us.

(v) No Refunds Upon Termination

If we terminate your account due to violation of these Terms, you will not be entitled to any refund of prepaid fees or unused subscription time.

15. Dispute Resolution & Arbitration

(i) Informal Resolution

If a dispute arises, you agree to first contact us at disputes@auraspeed.com to attempt to resolve the issue informally. Most disputes can be resolved this way.

(ii) Binding Arbitration

If we cannot resolve a dispute informally within 30 days, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

(iii) Class Action Waiver

YOU AND AURASPEED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

(iv) Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement or misappropriation of intellectual property rights.

(v) Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

16. Modifications to Terms

(i) Right to Modify

We reserve the right to modify these Terms at any time in our sole discretion. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date at the top of this page.

(ii) Your Acceptance

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

(iii) Material Changes Notification

For material changes that significantly affect your rights or obligations, we will provide at least 30 days' advance notice via email or prominent notice within the Service.

17. General Provisions

(i) Entire Agreement

These Terms, together with our Privacy Policy and any Additional Terms, constitute the entire agreement between you and AuraSpeed regarding the Service and supersede all prior agreements and understandings.

(ii) Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

(iii) Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and AuraSpeed's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

(iv) Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may freely assign or transfer these Terms and our rights and obligations hereunder.

(v) Force Majeure

AuraSpeed shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

(vi) Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

(vii) Language

These Terms are written in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall control.

19. Freelancer-Client Relationship Terms

CRITICAL: Independent Contractor Relationship

Freelancers and clients enter into INDEPENDENT CONTRACTOR relationships with each other, NOT with AuraSpeed. We are merely the platform facilitating these connections.

(i) Direct Contractual Relationship

When a client hires a freelancer through AuraSpeed, a direct service agreement is formed between those two parties. AuraSpeed is NOT a party to this agreement and bears NO contractual obligations regarding:

  • Work quality, completeness, or accuracy
  • Delivery timelines or deadline adherence
  • Freelancer skills, expertise, or qualifications
  • Project outcomes or results achieved
  • Communication responsiveness or professionalism

(ii) AuraSpeed is NOT an Employer

Freelancers are NOT employees, agents, partners, or representatives of AuraSpeed. We do NOT:

  • Control how freelancers perform their work
  • Provide training, equipment, or workspace to freelancers
  • Offer employee benefits (health insurance, paid time off, etc.)
  • Withhold taxes or issue W-2 forms (freelancers are responsible for their own taxes)
  • Guarantee work availability or minimum earnings
  • Supervise, direct, or manage freelancer work methods

(iii) Platform Facilitation Services Only

AuraSpeed's role is limited to:

  • Providing a marketplace to connect freelancers and clients
  • Processing payments securely through Stripe
  • Offering communication tools for project collaboration
  • Providing dispute mediation services (but NOT guaranteeing resolution outcomes)
  • Enforcing platform Terms of Service and Community Guidelines

We do NOT provide services to end clients and are NOT responsible for the actual work performed.

(iv) User Vetting & Background Checks

AuraSpeed does NOT conduct background checks, skill verifications, or employment screening of freelancers. Clients are solely responsible for:

  • Reviewing freelancer portfolios, ratings, and past work samples
  • Conducting interviews or skill assessments before hiring
  • Verifying freelancer credentials, licenses, or certifications if required
  • Checking references or requesting additional work samples
  • Ensuring freelancers have legal right to work and provide services

(v) Tax & Legal Compliance

Freelancers are independent business operators responsible for:

  • Paying all applicable taxes (income tax, self-employment tax, VAT, etc.)
  • Maintaining business licenses or permits required in their jurisdiction
  • Complying with employment classification laws (1099 vs W-2 in the US)
  • Obtaining appropriate business insurance (professional liability, E&O insurance)
  • Issuing invoices and maintaining tax records

AuraSpeed provides 1099-K forms (US only) for freelancers earning over $600/year, but we do NOT provide tax advice or guarantee compliance.

20. Platform Non-Liability for Deliverables

AuraSpeed is NOT RESPONSIBLE OR LIABLE for any aspect of freelancer deliverables, work quality, or project outcomes. This includes but is not limited to:

(i) Work Quality & Accuracy

We make NO warranties regarding:

  • Quality, accuracy, or completeness of freelancer work
  • Professional standards or industry best practices
  • Fitness for a particular purpose or meeting client expectations
  • Error-free deliverables or bug-free code/designs
  • Originality, creativity, or aesthetic appeal

(ii) Project Completion & Deadlines

We are NOT responsible for:

  • Whether freelancers complete projects on time or at all
  • Freelancer availability, responsiveness, or communication delays
  • Abandoned projects or incomplete deliverables
  • Revision requests exceeding agreed-upon limits
  • Force majeure events preventing freelancer performance

(iii) Intellectual Property & Copyright

AuraSpeed is NOT liable for:

  • Copyright infringement in freelancer deliverables
  • Unauthorized use of third-party assets (stock photos, music, fonts)
  • Plagiarism or copying of other creators' work
  • Trademark violations or brand guideline breaches
  • IP ownership disputes between freelancer and client

Clients must verify all deliverables are properly licensed and do not infringe third-party rights before publishing.

(iv) YouTube & Platform Policy Violations

If freelancer work causes YouTube policy violations, we are NOT responsible for:

  • Content ID claims or copyright strikes on your channel
  • Community Guidelines violations (misleading thumbnails, spam, etc.)
  • Demonetization or ad revenue loss due to unsuitable content
  • Channel suspensions or terminations resulting from uploaded videos
  • Fake engagement, view manipulation, or bot traffic

Clients are solely responsible for ensuring all content complies with YouTube's Terms of Service before uploading.

(v) Financial Damages & Lost Opportunities

AuraSpeed is NOT liable for any consequential damages including:

  • Lost ad revenue or sponsorship opportunities
  • Reputation damage from poor quality work
  • Missed upload deadlines affecting channel growth
  • Loss of subscribers or audience engagement
  • Business interruption or operational losses
  • Attorney fees, litigation costs, or settlement expenses

Maximum liability: AuraSpeed's total liability shall NEVER exceed the platform fees paid by you for the specific transaction in dispute.

(vi) What Clients CAN Do

If you're dissatisfied with freelancer work, your remedies are limited to:

  • 1. Requesting revisions per your service agreement with the freelancer
  • 2. Filing a dispute through AuraSpeed's resolution center (within 14 days of delivery)
  • 3. Leaving an honest review (subject to our review guidelines)
  • 4. Seeking a partial or full refund IF the dispute is resolved in your favor
  • 5. Reporting Terms of Service violations (we'll investigate and take appropriate action)

You CANNOT hold AuraSpeed liable for freelancer performance. Your contractual relationship is with the freelancer, not us.

21. Escrow, Refunds & Payment Disputes

(i) Escrow Payment System

For marketplace transactions, AuraSpeed holds client payments in escrow until:

  • Freelancer delivers the agreed-upon work
  • Client approves the deliverable OR 7 days pass without dispute
  • Any disputes are resolved through our mediation process

Funds are released to the freelancer minus AuraSpeed's platform fee (15%) and Stripe processing fees (~3%).

(ii) Refund Eligibility

Clients may request refunds in the following situations ONLY:

  • Non-Delivery: Freelancer fails to deliver ANY work within agreed deadline + 7-day grace period
  • Incomplete Delivery: Deliverable missing major components specified in project scope
  • Wrong Deliverable: Freelancer delivers work completely unrelated to project requirements
  • Fraudulent Activity: Freelancer provides stolen/plagiarized work or engages in scam behavior

Refunds are NOT available for:

  • Subjective quality complaints ("I don't like the style")
  • Scope changes requested after project start
  • Client changing mind or canceling after freelancer begins work
  • Performance expectations not explicitly stated in project scope

(iii) Dispute Resolution Process

If you're unhappy with freelancer work:

  • 1. Request Revisions: Use your revision allowance (typically 2-3 revisions included)
  • 2. Communicate Clearly: Provide specific, actionable feedback to the freelancer
  • 3. File Formal Dispute: If revisions don't resolve issues, open a dispute within 14 days of delivery
  • 4. AuraSpeed Mediation: Our support team reviews evidence from both parties (allow 5-7 business days)
  • 5. Resolution Options: Full refund, partial refund, additional revisions, or payment release to freelancer

Our decision is final. Disputes cannot be escalated after resolution unless new evidence emerges.

(iv) Chargeback Policy

WARNING: Filing a credit card chargeback instead of using our dispute process may result in:

  • ! Immediate account suspension pending investigation
  • ! Permanent ban from AuraSpeed if chargeback is unjustified
  • ! Legal action to recover stolen funds + damages + attorney fees

We will vigorously defend against fraudulent chargebacks by providing project documentation, communication logs, and delivery confirmation to your bank.

(v) Freelancer Payment Protection

Freelancers are protected from:

  • Non-payment if they deliver work as specified in project scope
  • Unjustified refund requests based solely on client's subjective preferences
  • Scope creep (clients can't demand extra work beyond agreed terms)
  • Unreasonable revision requests exceeding contract terms

If a client files a frivolous dispute, freelancers can counter-dispute with evidence of proper delivery.

22. Freelancer Service Standards

While AuraSpeed is not liable for freelancer performance, we DO require freelancers to meet minimum service standards:

(i) Accurate Service Listings

Freelancers must:

  • Accurately describe their skills, experience, and services offered
  • Show only genuine portfolio samples (work they actually created)
  • Set realistic delivery timelines they can actually meet
  • Disclose any limitations, restrictions, or tools they use (e.g., "AI-assisted editing")

(ii) Professional Conduct

Freelancers must maintain:

  • Timely communication (respond to client messages within 24-48 hours)
  • Respectful, professional tone in all interactions
  • Transparency about project status, delays, or challenges
  • Adherence to agreed-upon deadlines or proactive notification of delays

(iii) Original Work & Licensing

Freelancers must deliver:

  • Original work created specifically for the client (no reselling templates)
  • Properly licensed third-party assets (commercial-use stock photos, music, fonts)
  • Source files when applicable (Photoshop, Premiere Pro projects, etc.)
  • Full commercial rights transfer unless otherwise specified in project terms

(iv) Prohibited Freelancer Conduct

Freelancers are PROHIBITED from:

  • Plagiarizing or stealing other creators' work
  • Using pirated software, cracked plugins, or unlicensed assets
  • Requesting clients to communicate outside AuraSpeed before project completion
  • Demanding additional payment beyond agreed project price
  • Delivering intentionally poor work to extort revision fees
  • Creating fake accounts or manipulating reviews/ratings

Violation of these standards may result in account suspension, payment withholding, or permanent ban.

(v) Rating & Review System

Freelancers with consistently low ratings (below 3.5 stars) or multiple unresolved disputes may face:

  • Reduced visibility in search results
  • Mandatory completion of quality improvement training
  • Temporary suspension pending performance review
  • Permanent removal from the marketplace

23. Client Responsibilities

Clients hiring freelancers through AuraSpeed must uphold the following responsibilities:

(i) Clear Project Scope

Clients must provide:

  • Detailed project requirements, specifications, and deliverable expectations
  • Reference materials, brand guidelines, or style examples
  • Clear deadlines and milestone expectations
  • Access to necessary assets (footage, audio, brand files) in a timely manner

(ii) Timely Communication & Feedback

Clients must:

  • Respond to freelancer questions within 48 hours
  • Review deliverables and provide feedback within 7 days
  • Provide specific, actionable feedback for revisions (not vague complaints)
  • Approve final deliverables or file disputes promptly

(iii) Fair Treatment & Professionalism

Clients must NOT:

  • Demand work beyond agreed project scope without additional payment
  • Request unlimited revisions to avoid paying
  • Use delivered work without releasing payment
  • Harass, threaten, or abuse freelancers
  • Leave fraudulent negative reviews to extort refunds

(iv) Payment Obligations

Clients agree to:

  • Pay the agreed project price upon delivery of work as specified
  • Release payment within 7 days if no disputes are filed
  • Pay milestone installments on time for long-term projects
  • Not use chargebacks to avoid payment for delivered work

(v) Compliance with YouTube Policies

Clients are solely responsible for ensuring freelancer deliverables comply with YouTube's Terms of Service, Community Guidelines, and copyright policies before uploading. This includes:

  • Verifying all music, footage, and graphics are properly licensed
  • Ensuring thumbnails are not misleading or clickbait
  • Confirming content does not violate YouTube's advertiser-friendly guidelines
  • Taking responsibility for any strikes, demonetization, or channel penalties
