AuraSpeed is not a party to these direct service agreements and has no control over or liability for the services provided by freelancers. All terms, conditions, quality, and payment are between the client and the freelancer.

7.2 No Vetting of Freelancers

AuraSpeed does not perform background checks, verify credentials, or guarantee the skills or reliability of any freelancer listed on the platform. Users are solely responsible for vetting and selecting freelancers.

7.3 Dispute Resolution

Disputes between clients and freelancers should be resolved directly between the parties. AuraSpeed may offer voluntary mediation services, but does not guarantee outcomes and is not obligated to resolve all disputes.

Users are prohibited from using AuraSpeed services to export, re-export, or transfer technology, software, or data in violation of the export control laws and regulations of the United States and other applicable jurisdictions.

11.2 Prohibited Destinations

Users must not use AuraSpeed if they are located in, under the control of, or a national or resident of any country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country.

11.3 Sanctioned Individuals

Users must not use AuraSpeed if they are listed on any U.S. government denied-party or sanctions lists, including but not limited to the Commerce Department's Entity List, Denied Persons List, or Unverified List, or the Treasury Department's Specially Designated Nationals (SDN) List.

11.4 User Representation

By using AuraSpeed, you represent and warrant that you are not located in, under the control of, or a national or resident of any such country and are not on any such list.

13. Marketplace Platform Liability

⚠️ CRITICAL LEGAL NOTICE

AuraSpeed operates as a TECHNOLOGY PLATFORM connecting independent freelancers with clients. We are NOT RESPONSIBLE FOR:

13.1 No Liability for Freelancer Services

AuraSpeed makes NO WARRANTIES, EXPRESS OR IMPLIED, regarding:

  • Quality, accuracy, completeness, or timeliness of freelancer deliverables
  • Freelancer skills, qualifications, credentials, or professional competence
  • Project completion, deadline adherence, or work outcomes
  • Copyright compliance, originality, or intellectual property rights in deliverables
  • Fitness for a particular purpose or merchantability of freelancer services

13.2 Platform Role & Limitations

Our role is strictly limited to:

  • Marketplace Infrastructure: Providing software tools for users to connect and transact
  • Payment Processing: Facilitating secure payments through third-party processor (Stripe)
  • Dispute Mediation: Offering voluntary mediation services (outcomes not guaranteed)
  • Policy Enforcement: Enforcing platform Terms of Service and Community Guidelines

We do NOT supervise, control, direct, or manage how freelancers perform their work or interact with clients.

13.3 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

AuraSpeed's total liability to any user for all claims arising from or related to the platform SHALL NOT EXCEED:

The lesser of (a) $500 USD or (b) the total platform fees paid by you in the 12 months preceding the claim

This liability cap applies regardless of the legal theory (contract, tort, negligence, strict liability, etc.) and even if we were advised of the possibility of damages.

13.4 Excluded Damages

AuraSpeed is NOT liable for:

  • Indirect Damages: Lost profits, revenue, data, goodwill, or business opportunities
  • Consequential Damages: Channel strikes, demonetization, reputation harm, audience loss
  • Punitive Damages: Exemplary or statutory damages beyond actual losses
  • Third-Party Claims: Claims by viewers, sponsors, or other third parties affected by freelancer work

14. Freelancer-Client Disclaimers

14.1 Direct Contractual Relationship

When you engage a freelancer through AuraSpeed, you are entering into a DIRECT SERVICE AGREEMENT with that freelancer as an independent contractor. AuraSpeed is NOT a party to this agreement.

All project terms, deliverables, timelines, quality standards, and payment obligations are between you and the freelancer. Any disputes must be resolved between the parties, with AuraSpeed serving only as a voluntary mediator.

14.2 No Vetting or Background Checks

AuraSpeed does NOT conduct:

  • Background checks, criminal history reviews, or identity verification beyond email confirmation
  • Skill assessments, portfolio authenticity verification, or credential validation
  • Reference checks, employment history verification, or professional licensing confirmation
  • Ongoing performance monitoring or quality control audits

You are solely responsible for evaluating freelancers before hiring based on their profiles, portfolios, reviews, and communication.

14.3 Delivery & Completion Disclaimer

While we provide escrow payment protection, we CANNOT GUARANTEE:

  • Freelancers will complete projects on time or at all
  • Work will meet your subjective quality expectations
  • Deliverables will be free from errors, bugs, or defects
  • Freelancers will remain responsive or available throughout the project
  • You will receive refunds if work is delivered but unsatisfactory

14.4 Intellectual Property Disclaimer

AuraSpeed is NOT responsible for verifying:

  • Whether freelancer work contains copyrighted third-party materials
  • Proper licensing of stock assets, music, fonts, or other resources used
  • Originality of work or absence of plagiarism
  • Transfer of full commercial rights unless explicitly documented in project terms

Clients assume all risk for copyright infringement, Content ID claims, or DMCA takedowns resulting from freelancer deliverables.

14.5 YouTube Compliance Disclaimer

Freelancers may not be familiar with YouTube's specific policies. AuraSpeed is NOT liable if freelancer work causes:

  • Community Guidelines strikes for misleading metadata, spam, or harmful content
  • Copyright strikes from Content ID claims or DMCA complaints
  • Demonetization due to non-advertiser-friendly content
  • Channel suspension or termination for repeated policy violations

You must review all content before uploading and ensure compliance with YouTube's Terms of Service.

15. Independent Contractor Status

15.1 No Employment Relationship

Freelancers using AuraSpeed are INDEPENDENT CONTRACTORS, not employees, agents, or representatives of AuraSpeed. This means:

  • No employment benefits (health insurance, retirement plans, paid leave)
  • No workers' compensation or unemployment insurance coverage
  • No minimum wage or overtime pay requirements
  • No employer-employee legal obligations or protections
  • Freelancers are solely responsible for their own taxes, insurance, and legal compliance

15.2 Tax Reporting

For U.S.-based freelancers earning $600+ per year, AuraSpeed will issue IRS Form 1099-K reporting gross payment volume. However:

  • We do NOT withhold taxes on behalf of freelancers
  • We do NOT provide tax advice or filing assistance
  • Freelancers must report all income and pay estimated quarterly taxes
  • International freelancers are responsible for complying with their local tax laws

15.3 Business License & Insurance

Freelancers are responsible for:

  • Obtaining any required business licenses or permits in their jurisdiction
  • Maintaining professional liability insurance (E&O insurance) if desired
  • Complying with local regulations governing self-employment or freelance work
  • Registering as a business entity (LLC, sole proprietor, etc.) if required by law

AuraSpeed does NOT require or verify business licenses, insurance, or legal entity registration.

15.4 Client-Freelancer Tax Obligations

Clients hiring freelancers should be aware:

  • You are NOT required to withhold taxes from freelancer payments (unless they are your employee)
  • You may need to issue Form 1099-NEC if you pay a U.S. freelancer $600+ per year directly (outside AuraSpeed's escrow)
  • International payments may trigger tax withholding requirements under tax treaties
  • Consult a tax professional for advice on your specific situation

15.5 Indemnification for Misclassification

Both freelancers and clients agree to indemnify AuraSpeed against any claims arising from:

  • Employment misclassification disputes (claims that freelancer should have been an employee)
  • Tax withholding or reporting failures
  • Wage and hour violations alleged by freelancers
  • Benefits or workers' compensation claims
  • Immigration or work authorization issues

You acknowledge that AuraSpeed is a platform facilitator, not an employer, and hold us harmless from all employment-related liability.
